The Land Use Act of 1978 serves as the cornerstone of real estate law in Nigeria. It fundamentally changed the ownership structure by abolishing freehold ownership and placing all land under the trusteeship of state governors for the benefit of the citizens. As a result, foreign investors engage in leasehold interests, granting them rights to the property for a specified period, typically 99 years with options for renewal.

  • Verification of Vendor’s Title: It is imperative to verify the authenticity and validity of the vendor’s title to the property. This involves examining relevant documents such as the Certificate of Occupancy, Deed of Assignment, or Registered Conveyance to confirm ownership.
  • Litigation and Encumbrances: Identification of any pending litigation or encumbrances on the property is essential to assess the risks associated with the acquisition. This may involve searching court records and conducting inquiries with relevant authorities.

In Nigeria, transactions for the transfer of land interest exceeding three years must be evidenced in writing and executed by a deed between the parties involved.

Post-Completion Stage:

After the acquisition of land interest is completed, there are additional steps to perfect the title and ensure legal compliance. These steps include:

  • Governor’s Consent: According to the Land Use Act, the Governor’s consent of the state where the real estate is located is required for a valid transfer of an interest in real estate. The official fees payable for this consent typically range between 1% to 2% of the assessed value of the property.
  • Stamping of Documents: Under the Stamp Duties Act, transfer documents must be stamped within 30 days of execution. This is a prerequisite for the registration of the transfer of land interest.
  • Registration of Documents: Registration is mandatory for deed of transfer of interest, and it must be completed within 60 days of execution. The transfer instrument submitted for registration must have the Governor’s consent endorsed on it. Registration ensures priority and serves as conclusive proof of title.

In Lagos State, the registration of title to land is governed by the Lagos State Lands Registration Law, 2015. The law mandates that transfers of interest in land must be by deed and registered at the Land Registry for validity.
